KNOW ALL MEN BY THESE PRESENTS:
This MASTER DEED AND DECLARATION OF RESTRICTIONS (hereinafter referred to as "Master Deed" for brevity, whether the reference is made to the Enabling Deed, the Declaration of Restrictions and/or the House Rules) executed by:
MORONG LAND DEVELOPERS INC., a corporation organized and existing under the laws of the Philippines with offices at Holy Angels Memorial Park at Sitio Taghangin, Barangay San Juan, Morong, Rizal represented by its General Manager, Madelene R. Saguinsin, Filipino, of legal age, with office address at Holy Angels Memorial Park, Sitio Taghangin, Barangay San Juan, Morong, Rizal herein after referred to as the "DECLARANT";
RECITALS:
WHEREAS, the DECLARANT is the developer partner of a parcel of land owned by Madelene Saguinsin located at Holy Angels Memorial Park, Sitio Taghangin, Barangay San Juan, Morong, Rizal more particularly identified as Lot 3017 B of Plan (LRC) CSD 04-056598, with an area of Three Thousand Sixty (3,060) Square Meters, more or less, and covered by Transfer Certificate of Title (TCT) No. ____________ of the Registry of Deeds for Morong, Rizal, (the "Property"), a copy of which is attached hereto as Annex "A" and made integral part thereof.
WHEREAS, the DECLARANT desires to develop a columbarium project on the Property (the "Project") and hereby imposes certain mutually beneficial restrictions, which shall constitute a lien upon each columbarium unit (hereinafter referred to as the "Unit") and upon the Project as a whole, pursuant to the provisions of
pertinent laws in the Philippines.
NOW, THEREFORE, for and in consideration of the foregoing premises, the DECLARANT hereby submits the Property together with the improvements constructed or to be constructed thereon to the certificate of ownership and use, subject to the provisions of the pertinent laws of the Philippines and to the conditions, covenants, terms, declarations and restrictions herein below set forth. All of said covenants, conditions, and restrictions shall run with the land and shall be binding on all parties having or acquiring any right, title or interest in the Units, whether as sole owners, joint owners, mortgagees, occupants or otherwise and hereby declare and constitute the following:
PART I: THE MASTER DEED
The DECLARANT hereby submits the Project to the provisions of pertinent laws of the Philippines:
SECTION 1. NAME OF PROJECT - The Project shall be known as the "HOLY ANGELS MEMORIAL PARK COLUMBARIUM"
SECTION 2. DEVELOPMENT PLANS – The Project is being developed according to the following development plans which were prepared by and in the name of "HOLY ANGELS MEMORIAL PARK COLUMBARIUM", to wit:
a) Survey Plan - The survey plan of the land on which the Columbarium is constructed, hereto attached as Annex "C" and made an integral part hereof;
b) Site Development Plans - The improvements shall be constructed by the DECLARANT substantially in accordance with the plans and specifications thereof subject to such modifications as may be approved by the DECLARANT.
c) Right to Amend – The DECLARANT reserves the exclusive right and prerogative to supplement, amend and/or revise at any time this Master Deed as well as any development plans and specifications by filing with the proper Registry of Deeds and/or the DHSUD such additional, amended or supplemental deed and declaration of restrictions or plans and specifications as may be required to adequately describe or identify any such modifications, supplements, amendments or revisions. Such additional, revised, amended, or supplemental deed and declaration of restrictions, plans or specifications, when signed and acknowledged by the DECLARANT, shall accordingly amend this Master Deed as well as any affected development plans and specifications and shall not require the consent of the Unit Owners.
SECTION 3. DESCRIPTION OF THE COLUMBARIUM – The Columbarium shall consist of multiple clusters of columbarium ash crypts, common amenities and parking.
SECTION 4. DESCRIPTION OF THE UNITS - Each Unit consists of the space bounded by and contained within the ash crypt, each of such spaces being defined as a "Unit".
In measuring the area of each Unit, however, the limits of the area consist of the outermost wall of each ashcrypt and center line of walls separating each Unit from the other Units.
The nature, number and configuration of said Units shall be determined solely by the DECLARANT
SECTION 5. USES OF UNITS - The Units shall only be used as storage of urns. No other item shall be stored in the Units.
SECTION 6. THE COMMON AREAS - The Common Areas shall comprise all Columbarium Common Areas specifically as follows:
1. All foundations, footings, columns, beams, girders, floor foundation, load bearing walls, supports, facade, canopies, concrete slabs above ground, ceilings and roofs, and all other common structural elements of the Columbarium;
2. All doors, gates, roof decks, fire escapes, stairways, walkways and entrances and exits in the Columbarium within the Project;
3. Stairs/elevators and their appurtenances, utility service installations, facilities and equipment such as those for power, light, telephone, sewerage and drainage, as well as water shafts, tanks, pumps, motors, fans, compressors, firefighting systems, central equipment and all common areas, utility spaces and areas within the Columbarium and servicing the Project;
4. Chapel, family rooms, guardhouse, admin office, comfort rooms and such other amenities that may be constructed thereon;
5. Garbage disposal area and/or its appurtenant equipment or facilities servicing the Project;
6. Parking spaces are subject to availability,
SECTION 7. NATURE AND EXTENT OF INTEREST AND OBLIGATION OF UNIT OWNERS. A purchaser of a Unit who has paid the consideration in full (the "Unit Owner") shall acquire Certificate of Ownership to and ownership of such Unit subject to (1) the terms and conditions of the deed executed by the DECLARANT conveying the Unit, (2) the terms and conditions of any subsequent deed under which the Unit Owner takes title to the Unit, and (3) this Master Deed and such other supplemental deed and declaration of restrictions that may be appended hereto.
SECTION 8. PROPERTY RIGHTS. The property rights of a Unit Owner shall consist of:
a) Storage of urn inside his Unit
b) An undivided beneficial interest in the Common Areas of the Project except those which are expressly reserved herein to the DECLARANT
SECTION 10. RESALE OF THE UNIT. Under no circumstances shall the Unit Owner mortgage or lease the Unit. Any transfer of right via a Deed of Sale between the Unit Owner and a third party shall be registered with the DECLARANT subject to corresponding administration and transfer fees. Any such sale shall not absolve the unit owner from compliance with his obligations under this Master Deed
SECTION 11. RIGHT OF ENTRY – The DECLARANT shall have the exclusive right to open the Unit during reasonable hours to inspect, remove violations therefrom, and maintain, repair or replace facilities found therein, and charge the cost thereof to the account of the Unit Owner. This right shall be understood to include the right to enter any Unit or Common Areas of the Columbarium as may be necessary to install, operate, maintain, repair or replace any signage, billboard, or advertising devices of the DECLARANT
SECTION 12. RESERVED RIGHTS
a) With the intention of, among others, preserving and maintaining the aesthetic value of the Project, the structural integrity and architectural design of the Columbarium, and the economic value of the Project, the following rights are hereby exclusively and perpetually reserved by the DECLARANT and may be exercised by it in its sole discretion (hereafter, the "Reserved Rights"):
1. To keep the keys and have the exclusive right to open or provide access to the Unit for inurnment or viewing of the Unit Owner or authorized visitors by the Unit Owner. The DECLARANT reserves the right to refuse any request to open the Unit.
2. To change the name of the Project;
3. To maintain the façade, external and interior walls of the Project, through periodic repainting, repair, improvement and other necessary works;
4. To install, erect, maintain or place any billboard, poster, canopy, awning, signage or advertising devices, or advertising boxes or space on the façade, exterior walls, any general common area or anywhere within the
Project
5. To change, alter or modify the area of any Unit or Common Area of the Project, the number of floors of the Project, the number of and area of Units, to modify the use and occupancy of Common Area, and modify, restrict or otherwise regulate the type of activity that may be conducted in any Common Area.
b) The Reserved Rights are exercisable by the DECLARANT from time to time as it may, in its reasonable judgment, deem necessary throughout the existence of the Project, without need of prior consent from or consultation with the Unit Owners. The decision of the DECLARANT to exercise any of the Reserved Rights shall not give rise to any claim, liability, damages, cost or expense against the DECLARANT.
SECTION 13. SCOPE OF COVERAGE - This Declaration of Restrictions, as may from time to time be amended, embodies the restrictions, limitations, easements, covenants, undertakings and conditions required or permitted by pertinent laws of governing agencies of the Philippines or by the foregoing Master Deed or any applicable supplemental deed and declaration of restrictions. Subject to exceptions which may be expressly set forth in pertinent laws of governing agencies of the Philippines or other applicable laws and/or this Master Deed and Declaration of Restrictions or the applicable supplemental deed and declaration of restrictions, the said restrictions, limitations, easements, covenants, undertakings and conditions shall be deemed to (a) run with the Property, the Project, the Columbarium and other improvements making up the Project, (b) constitute a lien upon the Project, the Columbarium and all Units or improvements therein, and (c) inure to the benefit of and be binding upon all Unit Owners.
SECTION 14. MAINTENANCE, REPAIRS, ALTERATIONS OR ADDITIONS
a) All maintenance of and repairs to any unit (other than maintenance of and repairs to any of the Common Areas contained therein caused by the act or negligence of the Unit Owner, are subject to the approval of the DECLARANT, shall be made at the expense of the Unit Owner or purchaser of such unit, to the extent not fully compensated or covered by Separate Insurance. Each Unit Owner or purchaser shall be responsible for all damages to any other unit or units and/or to any portion of the Project resulting from his failure to effect the required maintenance and repairs of his unit. Each Unit Owner or purchaser shall also be obliged to promptly report in writing to the DECLARANT any defect or need for repairs on any of the Common Areas found in or within the vicinity of his unit.
b) All maintenance of and repairs to the Common Areas located inside or outside the units (unless resulting from the act, omission or negligence of a Unit Owner or assignee, in which case such expense shall be charged to the Unit Owner or purchaser of the unit) shall be made by the DECLARANT, in accordance with its By-Laws.
SECTION 15. SIGNAGE - Notwithstanding any provision to the contrary, the DECLARANT is, by itself or other persons it may authorize, given the absolute right to install signage, billboards or any advertising devices on the façade, exterior walls or anywhere within the Project and/or its surrounding areas, which shall be compliant with the guidelines provided by the Columbarium Rules and Regulations. The signage or billboards that will be installed, placed or erected may pertain to any advertisement that the DECLARANT deems necessary and appropriate, and shall not be limited to the promotion and marketing of the Project's sales.
The DECLARANT shall not therefore be held accountable for any expense, such as but not limited to monthly lease rental rates, in the use and enjoyment of the areas/spaces designated for these advertising devices except those amounts pertaining to their operation and maintenance. Any and all income including incidental benefits derived from these advertising devices shall be for the sole and exclusive account of the
DECLARANT.
An Owner or Assignee cannot replace, alter or in any manner modify the installed signage or advertising devices without the written approval from the DECLARANT.
SECTION 16. COLUMBARIUM DUES – The Annual Dues shall be paid the Unit Owners or purchasers or their successors-in-interest. Particularly, but not by way of limitation, common expenses shall include:
1. Expenses for administration of the Project and expenses for maintenance, operation, repair, addition or replacement of facilities in the Common Areas, as well as the cost of improvements in addition thereto authorized in accordance with the provisions of the By-Laws of the Project;
2. Any valid charge against the Project as a whole including but not limited to new or additional national or local taxes;
3. Expenses declared to be common expenses by provisions of this Declaration of Restrictions or by the By-Laws of the Project; and
4. Registration expenses to be incurred in the registration with the Registry of Deeds
5. Maintenance of and repairs to parking spaces
6. Such other expenses as may be allowed under relevant laws and duly approved by the DECLARANT.
b) Every Unit owner or purchaser of a Unit shall be required to pay to the DECLARANT a non-refundable deposit for association dues in such amount as may be determined by the DECLARANT, as the case may be, which shall be collectible before or upon the turn-over of the Unit to said purchaser. This deposit shall likewise be required for any subsequent purchaser of any Unit in the Project which shall be payable upon actual transfer of the Unit to the said subsequent purchaser.
c) A Particular Unit may also be subject to and assessed a special assessment authorized in accordance with this Declaration of Restrictions and the By-Laws of the Project
d) The interest due in case of delinquency, the costs of collection and/or suit (including attorney's fees, if any) and penalties for delinquency shall constitute a lien on the unit so assessed and on the appurtenant interest of the Unit Owner in the Common Areas. The DECLARANT, at its option may foreclose on the Unit as if a mortgage has been constituted thereon, as well as on the appurtenant interest of the Unit Owner in the Columbarium. Such lien shall be constituted and enforced, and the unpaid assessments collected in the manner provided in the By-Laws of the Project.
e) Except as otherwise provided in this Declaration of Restrictions, the lien for unpaid assessments and/or association dues hereunder shall be superior to all other liens and encumbrances;
f) The DECLARANT shall have the power to bid at the foreclosure sale. For this purpose, the DECLARANT, through its duly designated representative, is hereby constituted as the lawful attorney-in-fact for the Unit
Owner concerned and granted the specific authority to take possession of the Unit involved, to judicially or extrajudicially foreclose on the same, and to sign, execute and deliver all the necessary documents relating thereto and pending such disposition to perform all other acts of administration and management in the manner most advantageous to and for the best interest of the Corporation.
g) Each Unit Owner or purchaser shall execute such instruments and take such actions as may reasonably be specified by the DECLARANT to obtain a separate assessment of his respective unit for purposes of taxation and special assessments on real property. Nevertheless, if there is any possibility that any tax or assessment may become a lien on the entire Project or any part of the Common Areas, the same may be paid by the DECLARANT and assessed by the latter against the Unit Owner or Owners as separate expenses, together with interest charges at the rate of 3% per month or fraction of a month computed from the time of disbursement to the time of full payment, and costs as may be determined by the Corporation. Such assessments shall constitute a lien on the Unit or units assessed.
SECTION 17. USE LIMITATIONS – The Unit and the Common Areas of the Project shall be occupied and used subject to the following limitations:
a) Each of the Units may be owned by two (2) or more persons or juridical entities and exclusively used for the storage of urns, and for no other purpose; Provided, however, that for the purpose of compliance with all the
obligations under this Declaration of Restrictions including payment of assessment and Columbarium dues, the liability of the co-owners shall be solidary. No Unit or common area may be divided or subdivided into smaller units or areas nor any such portions thereof sold, transferred, mortgaged, leased, alienated or encumbered;
b) Common Areas intended for the provision of services and facilities for the common enjoyment of unit owners shall be used only for such purpose and shall not be appropriated for the exclusive use or benefit of any particular Unit or Units. There shall be no obstruction of the Common Areas intended for the ingress, egress or access to any portion of the Columbarium. Nothing shall be stored in the Common Areas (except those intended for common storage) without the previous written consent of the DECLARANT, which permission may be granted only if the intended storage will not violate any law, rule, regulation or ordinance;
c) Nothing shall be done nor be permitted within any part of the Project which may cause annoyance to occupants or which may interfere with the peaceful possession and proper use of the property by the Unit Owners, purchasers or occupants. No immoral, improper, offensive or unlawful conduct or activity shall be permitted in any part of the Project;
d) All Units and all parts of the Project shall be kept in a clean and sanitary condition, and no rubbish, refuse or garbage shall be allowed to accumulate nor any hazardous and/or combustible materials allowed to be stored
e) All pertinent laws, ordinances and regulations issued, promulgated or enforced by any government entity having jurisdiction over the Project shall be observed;
f) Nothing shall be done, added to or removed from any Unit, the Common Areas which will impair the architectural, mechanical, electrical, and structural integrity of the of the Columbarium. No signage of any kind shall be displayed to the public view on the Unit other than the marker provided by the DECLARANT;
SECTION 18. PROCEDURE AND PENALTIES FOR VIOLATION OF RESTRICTIONS AND COLUMBARIUM RULES – In the event that any unit Owner, purchaser, tenant or occupant fails or refuses to comply with any rules, limitation, restriction, covenant, undertaking or condition herein contained involving an obligation other than
the payment of money, or fails or refuses to comply with any provision or regulation contained in this Deed or in the House Rules, the DECLARANT may, in accordance with its By-Laws, remedy such breach or violation after failure of the Unit Owner or occupant to do so within the period fixed in the notice, and assess against the Unit Owner and/or occupant/s, jointly and severally, the expenses incurred by the DECLARANT, or the fines/penalties imposed in the House Rules for its violation as Separate Expense. The DECLARANT may likewise collect a penalty, attorney's fees and cost of suit in such amount and in the manner prescribed in the By-Laws of the Project. Once imposed, the same shall be considered as an assessment upon the unit as Separate Expenses secured by the lien.
SECTION 19. NON-WAIVER – No limitation, restriction, covenant or condition contained in this Master Deed and the right to sue thereon, and no provision or regulation in the Columbarium rules shall be deemed to have been abrogated, altered, amended or waived by reason of any failure to enforce the same, regardless of the number of violations or breaches thereof which may occur through the act of a Unit Owner, purchaser or other Unit Owners or purchasers conniving with or acting independently of each other and regardless of whether the violations or breaches are inform or not.
SECTION 20. RIGHTS OF ASSIGNEES, MORTGAGEES, TENANTS AND OCCUPANTS OF UNITS – All present and future owners, tenants and occupants of units shall be subject to, and shall comply with the following governing rules:
a) The provisions of pertinent laws of governing agencies of the Philippines;
b) This Master Deed with Declaration of Restrictions including its amendments, revisions or supplements;
c) The By-Laws of the Project;
d) Columbarium Rules and other rules and regulations that may be adopted pursuant thereto including its amendments, revisions or supplements. The acceptance of a deed or conveyance, or the entering into occupancy of any unit shall constitute an agreement to be bound by the provisions of the above governing rules, as they may be amended from time to time. The provisions contained in such governing rules shall be covenants running with the land and shall bind any person having at any time any interest or estate in such unit, as though such provisions were recited and fully stipulated in each deed, conveyance therof.
SECTION 21. INVALIDITY - The invalidity of any provision of this Declaration of Restrictions shall not affect in any manner the validity or enforceability of the other provisions of this Declaration, and said unaffected provisions shall continue in effect as if such invalid provision had never been included herein.
SECTION 22. COLUMBARIUM RULES AND REGULATIONS- The Owner agrees to be bound by the Columbarium Rules and Regulations to be adopted by the DECLARANT to govern the proper and orderly implementation, operation and maintenance of the Columbarium with respect to the following and other related matters:
a) Use of Units
b) Use of Amenities
c) Inurnment or Viewing Procedure
d) Parking Rules
e) Upkeep and Repair of Units
The DECLARANT and/or the DECLARANT reserves the right to promulgate such other rules and regulations to promote the convenience, safety, health and well-being of Unit owners, occupants and guests.
